GOLDN Socialista

1.1. Acceptance of Terms

By registering, accessing, or utilizing the GOLDN Socialista App or engaging with the Club's offerings, the Partner affirms full comprehension of and agreement to be bound by these Terms and the associated Privacy Policy. Should the Partner dissent, usage of the App and participation in Club-related services must immediately cease.

1.2. Duty to Act in Good Faith

Pursuant to Article 246 of the UAE Civil Transactions Code, both the Partner and the Club agree to fulfill their obligations under these Terms in accordance with principles of good faith and prevailing commercial custom.

2.1. Eligibility

Partnership is available to individuals or entities with a legally recognized business presence, subject to verification.

2.2. Partnership Approval

Access to partnership is contingent upon formal application approval. The Club retains the unilateral right to accept, deny, or revoke any partnership at its sole discretion in order to preserve the integrity of the platform and brand alignment.

3.1. Fees and Tiers

All partnership tiers are subject to the non-refundable fees communicated to the Partner via the App or official correspondence.

3.2. Non-Refundable Policy

All payments, including renewal fees, are non-refundable once processed, except as otherwise mandated by law or written agreement.

3.3. Payment Obligations

Partners must maintain up-to-date payment information. The Club may suspend access to benefits in the event of non-payment.

3.4. Automatic Renewal

Partnerships renew automatically unless canceled prior to the renewal date, as detailed in the App or partnership agreement.

As a recognized Partner of GOLDN Socialista, You are entitled to the following services and benefits, subject to the agreed partnership tier and availability:

• Monthly Newsletter Spotlight: Inclusion in the GOLDN Socialista monthly digital newsletter.
• Priority Event Access: Early access to curated events before general release.
• Curated Goodie Bag Inclusion: Opportunity to feature products or promotional material in event gifts.
• Branded Educational Experiences: Host workshops, panels, or experiences showcasing your brand.
• Comprehensive Brand Exposure: Featured promotion across GOLDN Socialista's marketing platforms, including social media and in-app content.
• Annual Magazine Feature: Dedicated profile or advertisement placement in GOLDN Socialista's annual print or digital magazine.
• Performance Analytics: Access to engagement metrics and insights relevant to brand placement and activities performance.
• 24/7 Brand Accessibility: Continuous access to the Partner's brand listing via the App or other approved digital platforms.

5.1. Exclusive Events

GOLDN Socialista events are defined as exclusive, curated gatherings intended solely for Members and Partners.

5.2. Event Fees

Due to advance financial commitments made with venues and third-party service providers, all event booking fees are rigorously non-refundable.

5.3. Non-Attendance/Withdrawal

No refunds or credit transfers shall be issued under any circumstances resulting from the Partner personal cancellation or failure to attend the scheduled event (non-attendance).

6.1. Presentation Standards

Partners must maintain a high standard of branding, professionalism, and alignment with GOLDN Socialista's aesthetic.

6.2. Dress Code (where applicable)

For in-person events, the communicated dress code must be adhered to by all Partner representatives.

6.3. Enforcement

Failure to comply may result in removal from events or forfeiture of benefits.

7.1. Conduct Requirements

Partners must engage respectfully with other Partners, Club personnel, and venues. Professional integrity is mandatory.

7.2. Prohibited Actions

Defamation, harassment, or any action causing reputational harm to the Club or its community is strictly prohibited.

7.3. Internal Reporting & Non-Disparagement

8.1. Confidential Information

Partner formally acknowledge that information and discussions exchanged within the App or during events, particularly details concerning the private affairs of other Members or Partner or the proprietary business operations of the Club, are to be considered strictly confidential ("Confidential Information"). Partners must treat all non-public information obtained through the App or events as confidential.

8.2. Obligation

Partner are strictly prohibited from disclosing, disseminating, or utilizing any Confidential Information for any purpose external to the designated participation within the Club. The unauthorized disclosure of trade secrets or private information within the UAE is subject to civil liability (monetary compensation) and potential penal sanctions under the UAE Penal Code.

9.1. Content License

The submission of content (comprising, but not restricted to, photographs, text, or videos) to the App by the Partner constitutes the grant of a worldwide, royalty-free, perpetual license to the Club to utilize, modify, publish, and publicly display such content in relation to the Club's services and promotional activities.

9.2. Right of Review

The Club may remove content that violates these Terms or brand standards.

10.1. Grant of Media Consent

By attending any event organized by the Club, the Partner and their invited guests grant irrevocable permission for the Club to capture, record, and utilize any media content (including, but not restricted to, photographic images, audio recordings and videographic footage). This visual content may be employed for the Club's marketing, promotional, and archival purposes across all digital and print platforms.

10.2. Opt-Out Requirement

Should a Partner or guest object to being featured in such visual media, the Partner is obligated to formally notify the event organizer in writing prior to the commencement of the event. Absent such timely written notification, express consent for the utilization of the images and footage is automatically presumed.

11.1. Ownership

All logos, proprietary designs, brand assets, the App interface, related materials, and digital content constitute the exclusive intellectual property of GOLDN Socialista FZ-LLC.

11.2. Restriction

Usage, reproduction, or duplication of the Club's Intellectual Property is expressly prohibited without the mandatory, prior written authorization of the Club.

12.1. Data Handling

Personal information furnished by the Partners shall be managed and processed in accordance with the provisions outlined in Our separate Privacy Policy. Data collection, processing, and storage adhere to the applicable data protection regulations of the UAE.

12.2. Purpose of Use

Personal information is utilized solely for the administration of partnership, coordination of events, and implementation of networking functionalities. The Club does not engage in the sale or sharing of data with unauthorized third parties.

13.1. Definition

Neither party shall incur liability for any failure or delay in the performance of its contractual obligations if such non-performance or delay is attributable to an event beyond its reasonable operational control, including, but not restricted to, natural disasters, hostilities, governmental acts, civil unrest, epidemic or pandemic outbreaks, fire, inundation, or severe meteorological occurrences (hereinafter, a "Force Majeure Event").

13.2. Consequences

Should the performance of obligations be rendered impossible as a direct result of a Force Majeure Event, the contract may be subject to termination, and the involved parties shall be restored to their initial contractual standing prior to the event's occurrence, in alignment with Article 273 of the UAE Civil Transactions Code.

14.1. Termination by Partner

A Partner may formally terminate their partnership by initiating cancellation of the renewal process via the App settings or by providing requisite written notification. Not less than 60 days in advance.

14.2. Termination by Club

The Club reserves the right to immediately suspend or terminate a Partner access and partnership under the following conditions:

• Breach of any stipulation within these Terms, the Code of Conduct, the Confidentiality clause, or the Dress Code and Presentation clause.
• Engagement in conduct deemed detrimental to the Club's reputation or the community's ethical standards.

14.3. Consequence of Termination

In instances of termination initiated by the Club due to the Partner's breach, no refund shall be issued for any pre-paid partnership or event fees.

15.1. Right to Amend

GOLDN Socialista reserves the right to unilaterally update or modify these Terms at any interval.

15.2. Acceptance

Such amendments shall become effective immediately upon the publication of the revised Terms on the App or the official website. Continued utilization of the App or participation in events by the Partner shall constitute full and binding acceptance of the subsequently published version of these Terms.

16.1. Limitation

The Club explicitly disclaims liability for any losses arising from interactions between Partners, utilization of third-party services, or event cancellations resulting from factors beyond the Club's control (e.g., governmental mandates). The Club expressly excludes liability for all indirect, incidental, special, or consequential damages.

16.2. Judge's Authority (UAE Civil Code)

Notwithstanding any limitations established herein, the parties acknowledge the application of Article 390 of the UAE Civil Transactions Code. This Article vests a UAE presiding judge with the discretionary authority to adjust the quantum of agreed compensation or damages to an amount equivalent to the actual loss sustained by a party, provided an application is submitted, and any contractual provision attempting to negate this judicial authority shall be deemed null and void.

17.1. Governing Law

These Terms and Conditions shall be governed by and legally interpreted in accordance with the federal laws of the United Arab Emirates and the local laws applicable in the Emirate of Dubai.

17.2. Jurisdiction

Any and all disputes arising from or pertaining to these Terms shall be subject to the exclusive jurisdiction of the competent Courts of Dubai.
