GOLDN Socialista

1.1. Acceptance of Terms

By downloading, registering, accessing, or utilizing the GOLDN Socialista App or participating in any Club events, the Member hereby affirms comprehension of and agreement to be bound by these Terms and the associated Privacy Policy. Should the Member dissent from these Terms, all usage of the App and participation in the Club's activities must immediately cease.

1.2. Duty to Act in Good Faith

Pursuant to Article 246 of the UAE Civil Transactions Code, both the Member and the Club commit to executing all obligations under these Terms in a manner consistent with the established requirements of good faith and commercial custom.

2.1. Eligibility

Membership is exclusively designated for individuals who have attained the minimum age of twenty-one (21) years.

2.2. Membership Approval

Access to membership is contingent upon formal invitation or successful application approval. The Club retains the absolute and unilateral right, at its sole discretion, to accept, deny, or revoke any membership at any time for the purpose of preserving the integrity and exclusivity of the community.

3.1. Fees and Tiers

All membership tiers (e.g., Silver, Gold, Platinum, Founding Circle) are subject to the non-refundable fees explicitly communicated to the Member via the App or through official correspondence.

3.2. Non-Refundable Policy

All payments remitted for membership fees, encompassing initial and subsequent renewal fees, shall be considered final and are strictly non-refundable upon processing, save for explicit provisions stipulated within a separate written agreement or as mandated by the governing law concerning non-delivery of specified services.

Following the processing of a membership or event payment, it shall not be subject to cancellation, refund, or transfer on the basis of the Member's personal change of circumstance or unilateral withdrawal.

3.3. Payment Obligations

Members are obligated to ensure the continuous validity and current status of their payment details. The Club reserves the right to suspend membership privileges in the event of non-payment.

3.4. Automatic Renewal

Memberships shall automatically renew for successive periods unless the Member furnishes notice of cancellation prior to the renewal date, as precisely specified within the App or the governing membership agreement.

4.1. Exclusive Events

GOLDN Socialista events are defined as exclusive, curated gatherings intended solely for Members.

4.2. Event Fees

Due to advance financial commitments made with venues and third-party service providers, all event booking fees are rigorously non-refundable.

Non-Attendance/Withdrawal: No refunds or credit transfers shall be issued under any circumstances resulting from the Member's personal cancellation or failure to attend the scheduled event (non-attendance).

5.1. Standard of Presentation

Elegance and adherence to the established aesthetic are integral components of the GOLDN Socialista brand identity. All Members and their invited guests are required to maintain a refined and well-presented appearance commensurate with the Club's values at all times.

5.2. Mandatory Compliance

The dress code for each specific event shall be officially communicated to the Member in advance and constitutes a mandatory condition precedent for entry.

5.3. Right of Refusal

Members or guests who demonstrably fail to comply with the announced dress code or appear inappropriately attired may be unequivocally denied entry to the event premises. In such an instance, any prepaid event fees shall be forfeited, and no refund shall be issued.

5.4. Enforcement Authority

The GOLDN Socialista management team reserves the explicit right to define, interpret, and enforce the presentation standards necessary to align with the brand's requisite aesthetic and corporate values.

6.1. General Conduct

Members shall be required to comply with the Club's Code of Conduct throughout the duration of their membership. This compliance encompasses, but is not restricted to, the respectful treatment of fellow Members, Club personnel, and venue regulations, alongside the maintenance of a high standard of professional and personal integrity.

6.2. Prohibited Behavior

The Code of Conduct strictly prohibits all forms of harassment, unlawful conduct, and any action that may constitute or lead to the disrepute of the Club or any affiliated Members.

6.3. Mandatory Internal Reporting and Non-Disparagement

In adherence to the applicable laws of the United Arab Emirates, specifically those provisions enforced within the Emirate of Dubai concerning cybercrime and defamation:

• The Member is mandatorily required to report any concerns, complaints, or negative experiences pertaining to the Club, its services, events, or partner venues directly and privately to the Club via electronic mail at info@goldnsocialista.com. This requirement facilitates the Club's internal resolution process.
• The Parties hereby covenant not to generate, publish, or disseminate any false, misleading, or defamatory statements—including, yet not limited to, negative reviews, posts, or comments—across any public forum, whether online or offline, that possess the potential to impair the reputation, credibility, or commercial interests of the Club or its partner venues. The posting of any such negative review concerning a partner venue on social networks or public platforms shall be deemed a material violation of these Terms and Conditions.
• Any dispute or expression of dissatisfaction must be addressed privately and resolved in good faith through the designated internal reporting channels.

Violation of this clause may precipitate immediate membership termination pursuant to Clause 13.2, and may further result in legal liability under pertinent UAE legislation, including, but not limited to, Federal Decree Law No. 34 of 2021 on Combating Rumors and Cybercrimes.

7.1. Confidential Information

Members formally acknowledge that information and discussions exchanged within the App or during events, particularly details concerning the private affairs of other Members or the proprietary business operations of the Club, are to be considered strictly confidential ("Confidential Information").

7.2. Obligation

Members are strictly prohibited from disclosing, disseminating, or utilizing any Confidential Information for any purpose external to the designated participation within the Club.

The unauthorized disclosure of trade secrets or private information within the UAE is subject to civil liability (monetary compensation) and potential penal sanctions under the UAE Penal Code.

8.1. Content License

The submission of content (comprising, but not restricted to, photographs, text, or videos) to the App by the Member constitutes the grant of a worldwide, royalty-free, perpetual license to the Club to utilize, modify, publish, and publicly display such content in relation to the Club's services and promotional activities.

8.2. Content Standards

The Club reserves the right to review, remove, or revise any Member-Generated Content that, in the Club's exclusive judgment, contravenes these Terms or fails to adhere to its requisite standards.

9.1. Grant of Media Consent

By attending any event organized by the Club, the Member and their invited guests grant irrevocable permission for the Club to capture, record, and utilize any media content (including, but not restricted to, photographic images, audio recordings and videographic footage). This visual content may be employed for the Club's marketing, promotional, and archival purposes across all digital and print platforms.

9.2. Opt-Out Requirement

Should a Member or guest object to being featured in such visual media, the Member is obligated to formally notify the event organizer in writing prior to the commencement of the event. Absent such timely written notification, express consent for the utilization of the images and footage is automatically presumed.

10.1. Ownership

All logos, proprietary designs, brand assets, the App interface, related materials, and digital content constitute the exclusive intellectual property of GOLDN Socialista FZ-LLC.

10.2. Restriction

Usage, reproduction, or duplication of the Club's Intellectual Property is expressly prohibited without the mandatory, prior written authorization of the Club.

11.1. Data Handling

Personal information furnished by the Member shall be managed and processed in accordance with the provisions outlined in Our separate Privacy Policy. Data collection, processing, and storage adhere to the applicable data protection regulations of the UAE.

11.2. Purpose of Use

Personal information is utilized solely for the administration of membership, coordination of events, and implementation of networking functionalities. The Club does not engage in the sale or sharing of data with unauthorized third parties.

12.1. Definition

Neither party shall incur liability for any failure or delay in the performance of its contractual obligations if such non-performance or delay is attributable to an event beyond its reasonable operational control, including, but not restricted to, natural disasters, hostilities, governmental acts, civil unrest, epidemic or pandemic outbreaks, fire, inundation, or severe meteorological occurrences (hereinafter, a "Force Majeure Event").

12.2. Consequences

Should the performance of obligations be rendered impossible as a direct result of a Force Majeure Event, the contract may be subject to termination, and the involved parties shall be restored to their initial contractual standing prior to the event's occurrence, in alignment with Article 273 of the UAE Civil Transactions Code.

13.1. Termination by Member

A Member may formally terminate their membership by initiating cancellation of the renewal process via the App settings or by providing requisite written notification.

13.2. Termination by Club

The Club reserves the right to immediately suspend or terminate a Member's access and membership under the following conditions:

• Breach of any stipulation within these Terms, the Code of Conduct, the Confidentiality clause, or the Dress Code and Presentation clause.
• Engagement in conduct deemed detrimental to the Club's reputation or the community's ethical standards (including, but not restricted to, violations of Clause 6.3).

13.3. Consequence of Termination

In instances of termination initiated by the Club due to the Member's breach, no refund shall be issued for any pre-paid membership or event fees.

14.1. Right to Amend

GOLDN Socialista reserves the right to unilaterally update or modify these Terms at any interval.

14.2. Acceptance

Such amendments shall become effective immediately upon the publication of the revised Terms on the App or the official website. Continued utilization of the App or participation in events by the Member shall constitute full and binding acceptance of the subsequently published version of these Terms.

15.1. Limitation

The Club explicitly disclaims liability for any losses arising from interactions between Members, utilization of third-party services, or event cancellations resulting from factors beyond the Club's control (e.g., governmental mandates). The Club expressly excludes liability for all indirect, incidental, special, or consequential damages.

15.2. Judge's Authority (UAE Civil Code)

Notwithstanding any limitations established herein, the parties acknowledge the application of Article 390 of the UAE Civil Transactions Code. This Article vests a UAE presiding judge with the discretionary authority to adjust the quantum of agreed compensation or damages to an amount equivalent to the actual loss sustained by a party, provided an application is submitted, and any contractual provision attempting to negate this judicial authority shall be deemed null and void.

16.1. Governing Law

These Terms and Conditions shall be governed by and legally interpreted in accordance with the federal laws of the United Arab Emirates and the local laws applicable in the Emirate of Dubai.

16.2. Jurisdiction

Any and all disputes arising from or pertaining to these Terms shall be subject to the exclusive jurisdiction of the competent Courts of Dubai.
